    This Terms of Use agreement is made for Meritus AI Learning Experiences Pvt Ltd having its office at #6, First Street, Kamarajar Avenue Chennai 600020 India hereinafter referred to as Meritus. The 2 web portals: “aischoolofindia.com” and “aiworldschool.com” offer AI & coding learning experiences to K12 Schools, K12 students, Educators & parents globally.

    Meritus ("Company", “We” or “Us” and their connotations) operates 2 websites (URL: “www.aischoolofindia.com” and “www.aiworldschool.com”) which are engaged in the service of online tutoring of Artificial Intelligence, Coding and other courses to children.

    These terms and conditions describe the terms on which the Company grants end users access to the Services and shall be read along with the Privacy Policy available on the 2 websites. Our services are primarily for schools, teachers, parents and children. Anyone below 18 years of age is assumed to be a child (“Child”) and has parental consent to use the service. The parents of the Child or users above 18 years of age are hereinafter referred to as “You”. The term “Users” for the purposes of these Terms shall be read as You and/ or Child.

  2. Terms of Service:

    Meritus provides the facility for AI, Coding & other online based education services through the Internet. Meritus’ Rules & Regulations apply to all such transactions along with special conditions imposed for Internet based application. Please go through the conditions carefully and if you accept them, you may register and transact on the site. Please note that once you register yourself on the Meritus website, you are deemed to have agreed to the terms and conditions set forth below. If you do not agree with all these terms and conditions, you must not transact on this Website. Each time you use our Service you are accepting the practices described in this Privacy Policy, as applicable, at that time.

    This agreement constitutes the entire agreement between the user and Meritus with respect to this Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and Meritus with respect to this Web Site.

    A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form this agreement

    By choosing to visit and/or avail any Services provided by Company, you agree to these Terms (as may be amended from time to time). Please read the following information carefully. If you are a parent or guardian and you provide your consent to your child's use of the Platform, you agree to be bound by these Terms in respect to their use of the Platform. By your continued access or use of the Platform, you signify your agreement to be legally bound by the Terms set forth herein. If you do not agree to the Terms of this agreement, you are requested to promptly exit the web platform/portal and stop accessing the Services.

    Scope of Service :

    Meritus makes no guarantee that any service will be uninterrupted, timely, secure or error-free.

  3. Rules Governing transactions through the Website/Internet:

    All rules and regulations applicable for application to Meritus will also apply to Online Application through the Internet.

    Confirmation of Submission on Application and Payment: Your purchase will be confirmed online, after you completely fill the Online Registration Form & make payment of service fee successfully. Further, the system will issue you a unique Transaction ID for future reference. We accept service fee in various modes including credit/ debit card, net banking through payment gateway. The Choice of Payment Mode lies with you. If any one of the modes is not functioning please try the other one available. Processing of Application is subject to realization of payment and the service charges (including GST) from the concerned Bank through the Payment Gateway. You will be responsible for all charges, fees, duties, taxes and assessments arising out of your use of this Website.

Meritus hereby acknowledges the software(s) it has developed & uses, is designed based on free software licence from Dr Wolfgang Slany - Catrobat & Pocket Code, Scratch from MIT, Junya Ishihara – Champierre, Cognimates from MIT, Dr Ken Kahn - ecraft2Learn, Jessica Van Brummelen – Zhorai MIT, and Jens Moenig – Snap and according to the following.

    Permission is hereby granted free of charge to any person obtaining a copy of this software and associated documentation files (the “Software”) to deal in the software without restriction, including without limitation the rights to use, copy , modify, merge, publish, distribute, sublicence and/or sell copies of the software and to permit persons to whom the software is furnished to do so subject to the following conditions :

    The information you provide in the Registration page must be complete and accurate. Meritus reserves the right at all times to disclose any information as Meritus India deems necessary to satisfy any applicable law, regulation, legal process, or Governmental request.

  7. Applicant Responsibility:

    You confirm to us that you are 18 years of age or above and have the legal capacity to enter into this Agreement with us and that all information you provide in respect of your use of the service is true and accurate to the best of your knowledge and belief. You are responsible for the security of your password and for all transactions undertaken using your password through our service. You confirm that you are the authorized holder of the credit card or the original account holder used in the transactions you make using the site and you alone use the "id" and "password" you have created in the site. Meritus will not be responsible for any financial loss, inconvenience or mental agony resulting from misuse of your ID/password/credit card number/account details number for payment for application fee on this site.

  8. Usage:

    You agree and warrant that you will not use the Services in a manner that is illegal or otherwise inconsistent with the Terms. In addition, you will not use the Services in a manner that deems objectionable by us. We reserve the right to restrict, suspend, or terminate your access to the Services at any time without notice for any reason, at our sole discretion. You agree that you will only access the Services through the Website eCommerce marketplace. You agree not to do any of the following:

    1. attempt to decipher, decompile, disassemble or reverse engineer or otherwise hack the Services or any software used to provide the Services;
    2. attempt to breach any security or authentication measures of the Services;

Meritus reserves the right, at any time and without prior notice, to remove or disable access to the Services or any Content, in its sole discretion, considered to be in violation of these Terms or otherwise harmful to the Services.

  9. Description of Services :

    The Company Meritus facilitates online Artificial Intelligence, Coding & Other education services to children. We aim at providing lessons on programming and coding languages to the Child. The concept is to create a virtual classroom, which helps the Child to learn without any restrictions on time and place.

    The Company Meritus will have its sets of modules according to which the Child is expected to complete their levels. The Company Meritus provides 2 types of Learning solutions a) Instructor led with tutors who will be assisting the Child with their modules. b) Self Learning modules where the Child will learn by following the instructions.

    However, for accessing the Services, the Child or You may have to create an account and disclose ("Personal Information") including, but not limited to, (i) name, e-mail ID, photograph, location and other contact information (ii) gender and other demographics (iii) birth date and year to validate the current age of the Child (iv) email address of Child’s parent or guardian to acquire the parental consent.

  10. License of Use :

    Meritus hereby grants You and the Child, the limited right to access, view and use the Services only for the purposes of accessing, viewing, posting or submitting User material, using the embedded link function, applications and services. Company Meritus reserves the right to suspend or deny, in its sole discretion, your access to all or any portion of the Service. This license is limited to personal and non-commercial uses by You and your Child. Any rights not expressly granted to You herein are reserved to Meritus Company

  11. Intellectual Property Rights :

    The Company Meritus retains all rights (including copyrights, trademarks, patents, designs, logos, trade-dress, Proprietary information, tradesecrets, know-how as well as any other intellectual property right) in relation to all information provided on or via this Platform (including but not limited to the curriculum taught, all texts, graphics, photos, illustrations, apps and logos). You shall not copy, download, publish, distribute or reproduce any of the information contained on this Platform or social media in any form without the prior written consent of the Meritus Company.

  12. Payment, Refund & Cancellation Policy :

    The Platforms are a paid service and the payments made by You shall be according to the plans opted by You through the Platform. All payments by Users shall be through the payment mechanism put in place by Us. Users have been given various options to choose and proceed with the payment for the Services via payment mechanisms including but not limited to Card Payment facilities, EMI Payment, Online Bank Transfer and Wallet Payment. The payment gateway mechanisms are governed by the terms and conditions of the third party providers as listed on the Platform and the User agrees to be bound by those terms. Any free trials or free demo or free classes provided via the Platform, shall also be governed by these Terms.

    1. Delivery :

      Meritus shall deliver the services once purchased as per Terms & conditions.International orders may also involve Taxes & Duties which vary from country to country. You are solely responsible for any such additional charges. In addition, it is your responsibility to check with your Government to verify whether the country to which you are using the service permits the same.

    2. Pricing :

      Except where otherwise noted, the list price displayed for any Service represents the full price including GST with respect to India. For USA, UK, Euro zone & rest of the World the price in the website excludes duties & taxes. For the USA, UK , Euro Zone & rest of the world any applicable duties and taxes as levied by the destination country will have to be borne by you. Despite our best efforts, a small number of items in our catalogue may be mispriced and, in the event of a mispricing, Meritus reserves the right to charge the correct price.

    3. Order Cancellation & refund :

      Once an order is placed in our online store, it is not eligible for cancellation. After the transaction has been done successfully on Meritus website no request for refund or cancellation will be entertained.

  13. Limited Warranty :

    To the fullest extent possible by law, meritus makes no representations or warranties that the services will operate error-free, be available, or that the services and meritus’s servers are free of computer viruses or other harmful mechanisms. If your use of the services results in the need for servicing or replacing equipment or data or any other costs, we are not responsible for those costs. Except for any limited warranties inthe user guide and other packaging materials included with your meritus products at the time of purchase, the services are provided “as is”And “as available” Without any warranties of any kind and meritus, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranty of merchantability, fitness for particular purpose, and non-infringement. Meritus makes no warranties about the accuracy, reliability, completeness, or timeliness of the content in the services. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

  14. Limitation of Liability :

    Meritus shall not be liable to you save as expressly provided for in these terms and conditions and shall have no other obligations, duties or liabilities whatsoever in contract, tort or otherwise arising out of the use of the service or connection to the web site.

    You are held personally liable for any violation of a third party's rights by You and your Child. You agree to reimburse Company for all damages resulting from the culpable nonobservance of the obligations of these Terms. Users release Meritus from all eligible claims that other users or third parties may file against Meritus due to a violation of their rights by content posted by the user or due to a violation of other obligations. You shall assume the costs of Company legal defense, including all court and legal fees. This condition does not apply if the Users are not responsible for the infringement.

  15. Accuracy of Information :

    Meritus shall use reasonable endeavors to check the accuracy of the information published on this web site. We give no warranty as to the accuracy of such information given on our website and reserve the right to amend and vary the contents of this web site from time to time without notice. Meritus Sites/Services may contain links to third party Web sites ("Linked Sites"). The Linked Sites are not under the control of Meritus and Meritus is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.

  16. Exclusion of Liability :

    Meritus shall not be liable to you for any of the following types of loss or damage arising out of your use of our web site and the service whether in contract or tort (including any liability for negligence howsoever arising out of or in connection with the performance of our obligations in the provision of the web site and this service): i. Loss of revenue, business, anticipated savings or profits; or ii. Any indirect or consequential loss howsoever arising.

  17. Force Majeure:

    Meritus shall not be liable to you in respect of any delay in performance of these terms and conditions or delay in performance or breach of the terms and conditions due to any event or circumstances beyond our reasonable control.

  18. Termination:

    Without limiting any other rights that Company may have, Company may remove, restrict, cancel or suspend access to and/or use of the Service and any part of it, if Company considers (in the sole discretion of Company) that You have breached any of these Terms.

  19. Indemnity:

    You agree to defend, indemnify, and hold harmless Meritus its associates, subsidiaries, affiliates, and their respective officers, directors, successors, subsidiaries, contractors, technology providers, advertisers, employees and agents, from and against any claims, actions, losses, costs, liability or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) Your use of the Services, (ii) Your breach of these Terms, including Your representations and warranties herein or (iii) Your violation of any applicable laws. Meritus reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defence of these claims. You agree not to settle any matter without the prior written consent of Meritus. Meritus will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

  20. Assignment:

    Any rights and services granted hereunder shall not be transferred or assigned by you but, shall be assigned by the Company. Any attempted transfer or assignment in violation hereof shall be considered as null and void.

  21. User Communication :

    You hereby explicitly consent to receiving communication from Meritus by email, telephone, whatsapp or text message for the purposes of providing alerts and information about our services

  22. Amendments to Terms:

    Meritus retains the right to modify these Terms:

    1. in the event of any amendments made due to legal changes,
    2. in the event of any amendments made due to decisions by the High Courts or Supreme Court of India
    3. because of technical necessity,
    4. in order to maintain Company operations,
    5. in the event of a change in market conditions,
    6. for the benefit of the user.

    No amendment will take place if such amendment would substantially disrupt the contractual balance between the parties. Users will be informed of any amendments to the general Terms via the Platform or via notice by email or in writing.

  23. Disclaimer :

    Meritus is not responsible for wrong application due to incorrect details furnished by the user.

  24. Governing Law & jurisdiction :

    This agreement and any separate agreements whereby we provide you services shall be governed and construed in accordance with the laws of India with exclusive jurisdiction of Chennai India Courts and no other courts will have jurisdiction.
